Ad hoc: DELTON AG is majority shareholder

inclusion of Microlog Logistics AG undergoing due diligence

Frankfurt a. M./Grevenmacher (Luxembourg) - DELTON AG, Bad Homburg, has informed Thiel Logistik AG, Grevenmacher/Luxembourg, that it has access to approx. 45% of the shares in Thiel Logistik AG. The management supported the friendly participation of DELTON by transferring its own shares. DELTON will not be seeking a participation greater than just over 50% in Thiel Logistik AG so that the free float remains high, thus reducing the weighting on the NEMAX 50 as little as possible. As a Luxembourg company, Thiel Logistik AG is not subject to the provisions of the German WpÜG. DELTON, as majority shareholder in Microlog Logistics AG, Frankfurt a. M., and which is also listed on the Neuer Markt, together with the two founders and existing shareholders, van den Berg and Weise, will offer to include their total of a good 67% of Microlog shares to Thiel Logistik AG. Thiel Logistik AG will be performing the necessary due diligence over the coming weeks. Should the offer be accepted, Thiel is willing in principle to submit a voluntary offer to the remaining minority shareholders in Microlog. Invitation to the Press Conference / Analysts Conference The transaction will be presented in detail by the boards of Thiel Logistik AG and DELTON AG during two Conference Calls for Analysts and a Press Conference. The Conference Calls will take place on Tuesday, August 13, 2002, at 9:30 am (in German) and at 4 pm (in English). The Press Conference is also scheduled for Tuesday, August 13, 2002, at the Steigenberger Frankfurter Hof, Frankfurt a. M., at 11 am.
