Ad hoc: Acquisition of 67% of the share capital of Microlog Logistics AG
Thiel Logistik AG, Grevenmacher (Luxembourg), has acquired 4,101,003 shares in Microlog Logistics AG, Frankfurt a. M., from DELTON AG, Bad Homburg. This shareholding represents 67.8% of the share capital of Microlog Logistics AG. The acquisition was made by a contribution of 3,950,667 shares in Microlog Logistics AG in a capital increase from authorized capital of Thiel Logistik AG, and a purchase of 130,336 additional shares in Microlog Logistics AG and the acquisition of a claim to transfer of 20,000 shares in Microlog Logistics AG under a securities loan. The share capital of Thiel Logistik AG was increased from EUR 91,631,736.25 by EUR 15,555,751.25 to EUR 107,187,487.50 by issuing 12,444,601 shares. The acquisition of the stake in Microlog Logistics AG was part of a restructuring of a group of companies. Thiel Logistik AG has therefore on its application been exempted by the Federal Financial Services Regulator from the obligation to make a mandatory offer to the remaining shareholders of Microlog Logistics AG. Thiel Logistik AG intends to submit to the minority shareholders of Microlog Logistics AG a voluntary public purchase bid at the purchase price of EUR 16.50 per share of Microlog Logistics AG.
